By accessing or using MemData ("Service"), operated by The Lab Venice LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
MemData provides semantic memory infrastructure for AI agents, including document ingestion, vector storage, and retrieval via MCP protocol and REST API. The Service processes and stores user-provided content to enable AI-powered search and context retrieval.
3. User Accounts
You must provide accurate account information
You are responsible for maintaining account security
You must be 18 years or older to use the Service
One person or entity per account
You are responsible for all activity under your account
4. Acceptable Use
You agree NOT to:
Upload illegal, harmful, or infringing content
Attempt to gain unauthorized access to our systems
Use the Service to build a competing product
Reverse engineer or scrape the Service
Exceed rate limits or abuse API access
Store sensitive personal data (SSN, health records, financial data) without appropriate safeguards
Use the Service for spam, phishing, or malicious purposes
5. Your Content
You retain ownership of content you upload
You grant us license to process, store, and serve your content to provide the Service
You are responsible for ensuring you have rights to upload content
We may delete content that violates these terms
Deleted content may persist in backups for up to 30 days
6. API Keys & Access
API keys are confidential - do not share or expose them
You are responsible for all usage under your API keys
We may revoke API keys that are abused or compromised
Rate limits and quotas apply per your plan
7. Payment & Billing
Paid plans are billed monthly in advance
Prices may change with 30 days notice
No refunds for partial months
Overages may result in service suspension or additional charges
You can cancel anytime; access continues until end of billing period
8. Service Availability
We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime, data loss, or service interruptions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO AMOUNTS PAID BY YOU IN THE PAST 12 MONTHS.
10. Termination
You may close your account at any time
We may suspend or terminate accounts that violate these terms
Upon termination, your data will be deleted within 30 days
You may export your data before closing your account
11. Changes to Terms
We may update these terms with notice via email or dashboard notification. Continued use after changes constitutes acceptance. Material changes will have 30 days notice.
